Quizstorm® End-User License Agreement (EULA)

Definitions

This End-User License Agreement (“EULA”) is a legal agreement between the user, whether acting as an individual, company, organisation, venue, employee, contractor, entertainer, operator, or authorised representative (“you” or “User”), and Quizstorm Ltd (“Quizstorm Ltd”, “we”, “us”, or “our”).

This EULA covers the Quizstorm® software suite, including the Quizstorm® Engine, Quizstorm® Server, Quizstorm® Master Controller, Quizstorm® Keypad, associated computer programs, applications, modules, media files, encrypted content, documentation, updates, and related materials.

Installation, access, connection to, or use of any part of the Quizstorm® software suite constitutes acceptance of this EULA. If you do not agree to this EULA, you must not install, access, connect to, or use the Quizstorm® software suite.

  1. Grant of Licence

Quizstorm Ltd grants you a limited, non-exclusive, non-transferable licence to use the Quizstorm® software suite in accordance with this EULA and any separate written licence, subscription, or commercial agreement agreed with Quizstorm Ltd.

The software is licensed, not sold. All rights not expressly granted under this EULA are reserved by Quizstorm Ltd.

The Quizstorm® software suite may only be used as a complete authorised product suite. It may not be split, resold, sublicensed, redistributed, copied, modified, or used as part of any unauthorised product, service, platform, or competing system.

  1. Authorised Use

You may use the Quizstorm® software suite only for lawful Quizstorm® events, entertainment, education, training, demonstrations, internal operations, venue activities, or other authorised purposes covered by your licence.

Where the software is supplied to a business, venue, cruise operator, resort, contractor, employee, host, entertainer, or other organisation, that organisation is responsible for ensuring that all users under its control comply with this EULA.

You must not use the Quizstorm® software suite in any way that could damage, disable, overburden, interfere with, or compromise the operation, security, integrity, reputation, or commercial value of Quizstorm®, Quizstorm Ltd, its customers, users, software, modules, or platform.

  1. Other Rights and Limitations

You may not assign, sublicense, rent, lease, lend, resell, transfer, share, publish, host, upload, or otherwise make the Quizstorm® software suite available to any unauthorised third party.

You may not reverse engineer, decompile, disassemble, modify, decode, decrypt, bypass, or otherwise attempt to derive the source code, structure, internal logic, file formats, encryption methods, security systems, content protection systems, workflows, databases, or technical processes used by the software.

You may not remove, alter, obscure, or interfere with any Quizstorm® copyright notice, trademark notice, branding, licence information, watermark, technical protection, or proprietary notice.

You may not use the Quizstorm® software suite, modules, content, designs, workflows, databases, structures, user interfaces, or related materials to create, support, assist, train, develop, or operate any competing product, service, quiz platform, content library, event system, or similar software.

  1. Copyright, Content and Modules

Quizstorm Ltd retains all intellectual property rights in the Quizstorm® software suite, including the software, documentation, user interface, workflows, databases, encrypted modules, media files, content structures, branding, trademarks, trade names, logos, and related materials.

Quizstorm® Modules are supplied free of charge for educational, training, demonstration, quiz, reference, illustrative, and internal entertainment purposes within the authorised Quizstorm® platform. No separate fee is charged for Quizstorm® Modules.

Any commercial licence, subscription, support fee, venue licence, software fee, installation fee, update fee, or other payment made to Quizstorm Ltd relates to the authorised use, operation, support, maintenance, supply, licensing, or availability of the Quizstorm® software suite. Such payments are not payments for ownership of Quizstorm® Modules, not payments for standalone module content, and not payments for any transfer of rights in the module content.

Free supply of Quizstorm® Modules does not transfer ownership, copyright, redistribution rights, extraction rights, publication rights, resale rights, editing rights, conversion rights, public upload rights, or any right to use the modules or module content outside the authorised Quizstorm® platform.

Quizstorm® Modules may include limited references to third-party names, titles, trademarks, brands, works, people, places, events, images, audio, video, or other material only in the context of quiz questions, answers, multiple-choice options, educational prompts, identification tasks, commentary, review, quotation, reference, or illustrative use.

Such references are used for the purpose of asking and answering questions, testing knowledge, encouraging recognition, providing educational context, supporting commentary or review, or enabling fair identification of the subject matter.

Any third-party references included in Quizstorm® Modules are intended to be limited, contextual, educational, non-substitutive, and no more than is reasonably necessary for the relevant question, answer, commentary, review, quotation, identification, reference, or educational purpose.

Quizstorm® Modules are not supplied as standalone copies of third-party works and must not be extracted, copied, redistributed, sold, uploaded, published, converted, modified, repackaged, or used independently of the Quizstorm® platform.

Quizstorm® Modules, including questions, answers, images, audio, video, metadata, media files, and associated content, are encrypted and protected. They may only be accessed, loaded, displayed, and used through the authorised Quizstorm® software suite.

You may not copy, extract, convert, record, scrape, redistribute, upload, publish, sell, transfer, modify, repackage, or make available any Quizstorm® Module or module content outside the Quizstorm® platform.

  1. Content Protection

Quizstorm® Modules and related media are encrypted and protected to prevent unauthorised access, tampering, copying, extraction, redistribution, publication, resale, conversion, or misuse.

Any attempt to bypass, weaken, remove, decode, decrypt, interfere with, or defeat these protections is strictly prohibited and may result in immediate termination of your licence and legal action.

  1. Third-Party References and Rights Holder Requests

Quizstorm Ltd respects intellectual property rights.

Where reasonably practical, Quizstorm Ltd may identify, acknowledge, credit, correct, remove, replace, restrict, or review third-party references, works, names, titles, brands, or rights holders used for educational, illustrative, commentary, quiz, reference, or contextual purposes.

If any rights holder believes that a Quizstorm® Module includes material that should be reviewed, corrected, attributed, restricted, replaced, or removed, they should contact support@quizstorm.app with sufficient information to identify the relevant material.

Quizstorm Ltd reserves the right to review, update, remove, replace, restrict, or amend modules or module content where appropriate.

  1. Local Operation

The Quizstorm® software suite is designed primarily as a locally operated event, education, quiz, and entertainment system.

Quizstorm® Modules are locked, encrypted, and local to the authorised Quizstorm® platform. They are not supplied as standalone files for public access, redistribution, resale, editing, publication, extraction, conversion, or use outside Quizstorm®.

Certain functions may require local network connectivity between authorised Quizstorm® components, compatible devices, suitable hardware, updates, downloads, configuration, or server connection. You are responsible for maintaining a suitable operating environment unless otherwise agreed in writing with Quizstorm Ltd.

  1. Updates and Changes

Quizstorm Ltd may provide updates, patches, fixes, content updates, module updates, security updates, feature changes, or compatibility changes from time to time.

Some updates may be required for continued functionality, compatibility, security, licensing, or access to current modules.

Quizstorm Ltd may modify, replace, suspend, withdraw, restrict, or update features, modules, downloads, software components, or support where reasonably necessary for operational, legal, security, technical, or commercial reasons.

  1. Data and Privacy

Use of the Quizstorm® software suite may involve limited processing of technical, operational, account, device, event, connection, or user information depending on the product, configuration, platform, and use case.

Quizstorm Ltd’s handling of personal data is governed by its Privacy Policy and any applicable written commercial agreement or data processing agreement.

You must ensure that your own use of the Quizstorm® software suite complies with applicable data protection laws, venue policies, employment policies, guest notices, privacy obligations, and any relevant internal procedures.

Where you enter, collect, display, store, transmit, or otherwise process personal data using the Quizstorm® software suite, you are responsible for ensuring that you have the necessary authority, lawful basis, consents, notices, and procedures in place.

  1. Compliance with Laws

You agree to comply with all applicable laws and regulations when using the Quizstorm® software suite, including but not limited to laws relating to data protection, intellectual property, confidentiality, export controls, venue operation, employment, public performance, consumer protection, and acceptable conduct.

You must not use the software in any unlawful, harmful, abusive, misleading, discriminatory, defamatory, infringing, or unauthorised manner.

  1. Limited Warranty

The Quizstorm® software suite is provided “as is”. To the maximum extent permitted by law, Quizstorm Ltd gives no warranty that the software will be uninterrupted, error-free, compatible with every device, suitable for every venue, or free from all defects.

You are responsible for ensuring that your hardware, devices, operating systems, network, venue setup, local configuration, and technical environment are suitable for the intended use of the software.

Nothing in this EULA excludes or limits any legal rights that cannot lawfully be excluded or limited.

  1. Limitation of Liability

To the maximum extent permitted by law, Quizstorm Ltd shall not be liable for any indirect, incidental, special, consequential, or economic loss, including loss of profit, loss of revenue, loss of business, loss of goodwill, loss of anticipated savings, loss of data, interruption of business, event disruption, venue failure, network failure, hardware failure, device failure, operator error, or unauthorised use.

Nothing in this EULA excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

Where the Quizstorm® software suite is supplied under a separate written commercial agreement, any liability cap or additional liability terms in that agreement shall apply in addition to this EULA.

  1. Suspension and Termination

Quizstorm Ltd may suspend or terminate your licence, access, updates, support, or use of the Quizstorm® software suite if you breach this EULA, misuse the software, attempt to bypass technical protections, infringe intellectual property rights, fail to comply with applicable licence terms, or otherwise act in a way that may harm Quizstorm Ltd, its customers, licensors, users, software, modules, content, or platform.

Upon termination, you must immediately stop using the software and, where requested, delete or return all copies of the software, modules, media files, documentation, and related materials in your possession or control.

Sections relating to intellectual property, restrictions, content protection, third-party references, unauthorised use, liability, enforcement, governing law, and dispute resolution shall survive termination.

  1. Unauthorised Use and Takedown Requests

Quizstorm Ltd actively protects its software, modules, content, trademarks, branding, and proprietary materials.

If you become aware of unauthorised copying, distribution, resale, extraction, publication, hosting, download links, access, conversion, modification, tampering, or use of Quizstorm® software, modules, media, branding, or related materials, please contact support@quizstorm.app.

Quizstorm Ltd reserves the right to pursue takedown notices, platform complaints, contractual remedies, injunctive relief, damages, and any other remedies available by law in relation to unauthorised use of Quizstorm® materials.

  1. Governing Law and Dispute Resolution

This EULA shall be governed by and interpreted in accordance with the laws of England and Wales.

Where permitted by law, the parties agree to seek to resolve disputes first through good-faith discussions.

If a dispute cannot be resolved informally, it shall be resolved through binding arbitration in England, unless Quizstorm Ltd elects to seek urgent injunctive, equitable, intellectual property, debt recovery, or enforcement relief through the courts.

Nothing in this clause prevents Quizstorm Ltd from seeking immediate legal relief in any appropriate jurisdiction to protect its intellectual property, confidential information, software, modules, trademarks, content, encryption, or technical protections.

Nothing in this clause affects any statutory rights or mandatory legal protections that cannot lawfully be excluded.

  1. Entire Agreement

This EULA, together with any applicable written commercial agreement, order form, subscription terms, privacy policy, data processing agreement, or written licence terms agreed with Quizstorm Ltd, forms the agreement governing your use of the Quizstorm® software suite.

If any provision of this EULA is found to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in full force and effect.
